1. Agreement to these Terms 

These Terms and Conditions, also referred to as our Terms of Use, govern your access to and use of lakelandfarmandranch.com and any other website, online store, or messaging service operated by Lakeland Farm and Ranch Direct, together referred to as the Site. They also govern the purchase of any product or service from us through the Site. 

By accessing the Site, creating an account, placing an order, requesting a quote or catalog, submitting a review or comment, or opting in to receive messages from us, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Site. 

In these Terms, “we,” “us,” “our,” and “Lakeland” refer to Lakeland Farm and Ranch Direct. “You” refers to the person using the Site or placing an order.

3. Eligibility 

You must be at least 18 years of age, or the age of majority in your province, territory, or state, to place an order, hold an account, submit content, or opt in to receive messages from us. If you use the Site on behalf of a farm, ranch, business, or other organization, you confirm that you have the authority to bind that organization to these Terms. 

4. Changes to these Terms and to the Site 

We may update these Terms from time to time. The effective date above shows when they were last revised. Changes apply to your use of the Site from the date they are posted, and your continued use of the Site means you accept the revised Terms. Orders already accepted by us are governed by the Terms in effect when the order was placed. We may also change, suspend, or discontinue any part of the Site, including any product, price, or feature, at any time. 

5. Your account 

Some features, such as My Account, order history, wishlists, and commenting, require an account. You are responsible for the accuracy of the information in your account, for keeping your user ID and password confidential, and for all activity that takes place under your account. Please tell us promptly if you believe your account has been used without your permission. We may suspend or close an account that we reasonably believe has been used in breach of these Terms. 

6. Products, specifications, and availability 

We work to describe our cattle, sheep, goat, horse, and farm and ranch equipment accurately, including dimensions, capacities, and materials. Even so, product descriptions, drawings, specifications, weights, and photographs are provided for general guidance and are not guaranteed to be complete or error free. Photographs may show optional equipment, accessories, or configurations that are not included in the price shown. Colours may appear differently on different screens. 

We reserve the right to improve or modify products and specifications without notice, and to limit quantities or discontinue any product. Product availability is not guaranteed until your order is accepted and confirmed by us. 

7. Pricing, currency, taxes, and duties 

Prices on the Site can be displayed in Canadian dollars or United States dollars using the currency selector. The currency applied to your order is the currency shown at checkout. Prices are subject to change without notice and do not include applicable taxes, tariffs, duties, brokerage, freight, delivery, installation, or assembly charges unless we state otherwise in writing. 

Applicable sales taxes, GST, PST, HST, or state and local taxes are calculated at checkout or on your invoice based on the delivery destination. For cross border shipments, any duties, tariffs, brokerage, or customs charges are the responsibility of the party identified in the shipping terms for that order. 

Despite our best efforts, a product on the Site may occasionally be listed at an incorrect price, or with incorrect specifications or availability. Where an error is apparent, we may correct the error, and we may cancel or decline any order placed at the incorrect price, even after the order has been submitted or acknowledged. If we cancel an order for this reason after payment has been taken, we will refund the amount charged. 

8. Quotes, orders, and order acceptance 

A quote we provide is an invitation to order and is valid for the period stated on the quote, or for 30 days where no period is stated. Quotes are subject to change if material costs, freight rates, exchange rates, tariffs, or product availability change before an order is accepted. 

When you submit an order through the Site, by phone, by text, or by email, you are making an offer to purchase. No order is binding on us until we accept it. An acknowledgement of receipt, including an automated order confirmation email, is not by itself acceptance. We may decline or cancel any order, in whole or in part, including where the product is unavailable, where there is an error in pricing or product information, where we suspect fraud or a breach of these Terms, or where we cannot ship to the requested destination. 

9. Payment, invoices, and financing 

We accept the payment methods shown at checkout, and invoices may also be paid through the Pay My Invoice page. By submitting payment information you confirm that you are authorized to use the payment method provided. Orders may be subject to fraud screening and payment authorization before they are accepted. Deposits or progress payments may be required for custom, large, or freight forwarded orders, and any such requirement will be stated on your quote or order. 

Overdue amounts on account orders may be subject to interest and reasonable collection costs as stated on the applicable invoice. Where financing is offered, it is provided by a third party lender under that lender’s own terms, conditions, credit criteria, and privacy practices. Lakeland is not the lender, does not make credit decisions, and is not responsible for the terms of any financing arrangement you enter into. 

10. Shipping, Direct Delivery, and inspection on arrival 

Delivery dates, lead times, and Direct Delivery schedules are estimates made in good faith and are not guaranteed. We are not responsible for delays caused by carriers, weather, road or border conditions, customs clearance, supply shortages, or other events outside our reasonable control. Where equipment is delivered by transport truck, the delivery site must be accessible to that vehicle, and you are responsible for arranging suitable access, unloading assistance, and equipment where these are not expressly included in your order. 

Please inspect all shipments on arrival, before signing for them. Note any visible damage, shortage, or missing item on the carrier’s delivery documents and contact us as soon as possible so that a claim can be filed. Concealed damage should be reported to us promptly after delivery. Claims reported after the periods stated in our Return Policy or by the carrier may not be recoverable. 

11. Returns, cancellations, and warranty 

Returns, exchanges, restocking charges, and order cancellations are governed by our Return Policy, and product warranties are governed by our Warranty page. Both are part of these Terms and are available on the Site. Custom, modified, and special order items may not be returnable. Please review those pages before ordering, and contact us if anything is unclear. 

Except as expressly set out in our written warranty, and except for any statutory rights that cannot be excluded under applicable consumer protection law, we make no other warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, of fitness for a particular purpose, or of non infringement. 

12. Safe use of equipment 

Livestock handling and farm equipment involves inherent risk. You are responsible for selecting equipment that suits your operation, for installing and anchoring it correctly, for training anyone who uses it, and for operating and maintaining it in accordance with the manufacturer’s instructions and all applicable safety rules and regulations. Information on the Site, including layout suggestions, blog posts, videos, testimonials, and general guidance from our team, is provided for general information only and is not a substitute for professional engineering, veterinary, agronomic, or safety advice for your specific site and herd. Never modify equipment in a way that is not authorized by the manufacturer. 

13. Intellectual property 

The Site and its contents, including text, product descriptions, photographs, video, drawings, logos, trademarks, page layouts, and software, are owned by Lakeland or our licensors and are protected by copyright, trademark, and other laws. You may view, download, and print pages from the Site for your own internal use in evaluating or purchasing our products. You may not otherwise copy, reproduce, republish, frame, scrape, sell, or use our content or trademarks for commercial purposes without our prior written permission. 

14. Reviews, comments, and other content you submit 

The Site allows you to submit content, including product reviews, testimonials, comments, photographs, videos, and Ambassador program submissions. You keep ownership of what you submit. By submitting content, you grant Lakeland a worldwide, royalty free, perpetual, irrevocable, sub licensable right to use, reproduce, adapt, publish, translate, and display that content on the Site, in catalogs, and in our marketing, in whole or in part, together with your first name, general location, and any operation name you provide. 

You confirm that the content is yours to submit, that it is accurate to the best of your knowledge, and that it does not infringe anyone’s rights or contain anything unlawful, misleading, defamatory, harassing, obscene, hateful, or unsafe. Do not submit personal information about other people without their permission, and do not submit content that includes malware or spam. 

We are not obliged to publish, monitor, or keep any submission, and we may remove or edit content at our discretion. Reviews, testimonials, and comments reflect the views of the person who submitted them, not those of Lakeland, and individual results with any product will vary. Where an Ambassador or contributor has received a product, discount, or other consideration from us, that relationship is disclosed where required. 

15. Acceptable use 

When using the Site, you agree not to: 

• Use the Site for any unlawful purpose, or in breach of these Terms. 

• Attempt to gain unauthorized access to the Site, to another user’s account, or to any system or network connected to the Site. 

• Introduce a virus, malware, or other harmful code, or interfere with the operation, security, or availability of the Site. 

• Use a robot, spider, scraper, or other automated means to access, copy, or index the Site, or to harvest pricing, product data, images, or contact information, except for search engine crawlers operating in accordance with our published permissions. 

• Place a fraudulent, speculative, or resale order, or misrepresent your identity or authority. 

• Impersonate Lakeland or suggest an affiliation, dealership, or endorsement that does not exist. 

16. Third party links and services 

The Site links to third party websites and services, including social media platforms, review platforms, payment processors, financing providers, carriers, and messaging providers. We do not control those services and are not responsible for their content, products, terms, or privacy practices. Your use of a third party service is governed by that provider’s own terms. 

17. SMS Terms & Conditions 

Lakeland Farm & Ranch Direct offers SMS messaging for customer support purposes, including account notifications, delivery updates, and other customer service communications. By opting in, you agree to receive recurring text messages from Lakeland Farm & Ranch Direct at the phone number provided; message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time. For support, contact us at 1-866-443-7444. 

17.1 Program and how to join 

The program name is Lakeland Farm & Ranch Direct. Messages are sent from our toll free number 1-866-443-7444, 1-888-330-9140 or from another number or short code identified to you when you sign up. You can opt in by giving us your mobile number on a web form or at checkout, by checking a consent box online, by texting us first, by signing a form at a trade show or dealer location, or by giving your permission to a member of our team. Consent to receive text messages is not a condition of purchasing any product or service. Messages under this program are for customer support and transactional purposes, and we do not send marketing or promotional text messages under it. 

17.2 Message frequency and cost 

Messages are recurring, and message frequency varies with your activity, for example the status of an order, quote, or delivery. Lakeland does not charge for text messages, but message and data rates may apply under your plan with your wireless carrier. Please contact your carrier for details of your plan. 

17.3 How to get help and how to opt out 

Reply HELP to any message from us for assistance, or contact customer support at 1-866-443-7444 or info@lakelandfarmandranch.com. 

To stop receiving messages, reply STOP to any message from us at any time. We will send one final message confirming that you have been unsubscribed, and no further messages will be sent under that program. We also honour ordinary language opt out requests such as stop, end, quit, cancel, or unsubscribe, and capitalization, punctuation, and spacing do not affect the validity of your request. You can also opt out by calling or texting 1-866-443-7444, or by emailing info@lakelandfarmandranch.com. If you opt out and later want to rejoin, simply sign up again. 

17.4 Carriers and supported devices 

Carriers are not liable for any delayed or undelivered messages. Not all mobile devices or wireless carriers support every messaging feature, and delivery is subject to transmission by your carrier. If you change or give up your mobile number, please update your contact details with us so that messages intended for you are not sent to someone else. 

17.5 Privacy 

We handle your mobile number, your consent record, and the content of your messages as described in our Privacy Policy, including Section 11, Text messaging privacy. No mobile information is sold, rented, or shared with third parties or affiliates for marketing or promotional purposes. For more information on how we handle your data, see our Privacy Policy. 

18. Other communications from us 

Where you have asked to hear from us, we may also contact you by email, telephone, or postal mail, for example with our newsletter, catalog, or product news. You can change those preferences or unsubscribe at any time using the link in any email we send, or by contacting us. Messages needed to complete an order, provide support, or give a product safety notice may still be sent to you. Your channel preferences are described further in our Privacy Policy. 

19. Disclaimers 

The Site is provided on an “as is” and “as available” basis. We do not warrant that the Site will be uninterrupted, timely, secure, or error free, that defects will be corrected, or that the Site or the servers that make it available are free of harmful components. Information on the Site, including blog content, layout tools, and general guidance, is provided for general information only and is not professional advice for your particular circumstances. 

20. Limitation of liability 

To the fullest extent permitted by applicable law, Lakeland, our affiliates, and our directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, production, livestock, crops, data, or goodwill, arising out of or in connection with your use of the Site, any product purchased through it, any delay in delivery, or these Terms, whether based in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of those damages. 

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to a product or order will not exceed the amount you paid to us for that product or order, and our total aggregate liability arising out of your use of the Site, where no order is involved, will not exceed one hundred dollars. 

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including under consumer protection legislation, or any liability for fraud, or for death or personal injury caused by our negligence. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. 

21. Indemnification 

You agree to indemnify and hold harmless Lakeland, our affiliates, and our directors, officers, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Site, content you submit, or your unsafe or unauthorized use or modification of any product purchased from us. 

22. Events beyond our control 

We are not liable for any failure or delay in performing our obligations where that failure or delay results from an event beyond our reasonable control, including severe weather, flood, fire, disease outbreak, labour disruption, transportation or carrier failure, border or customs delay, tariff or trade action, shortage of materials, utility or network failure, act of government, or civil disturbance. 

23. Suspension and termination 

We may suspend or terminate your access to the Site or to your account, without notice, if we reasonably believe you have breached these Terms or that your use of the Site poses a risk to us, to other users, or to the security of the Site. Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply. 

24. Governing law and venue 

These Terms and any dispute arising out of them, out of the Site, or out of any product or service you purchase from us, are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba, without regard to conflict of laws principles. You and Lakeland agree to the exclusive jurisdiction of the courts of the Province of Manitoba, and you waive any objection to venue in those courts. 

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. If you are a consumer resident in another province, territory, state, or country, this section does not deprive you of the protection of any mandatory consumer protection law of the place where you live, or of your right to bring a claim before a small claims court or a consumer tribunal where that right applies. 

25. General 

These Terms, together with our Privacy Policy, Return Policy, and Warranty, and any order acknowledgement or written agreement we provide, form the entire agreement between you and Lakeland regarding your use of the Site and your purchases from us, and they replace any earlier understanding on those subjects. If a provision of these Terms is found to be unenforceable, the rest remains in effect and the unenforceable provision is applied to the maximum extent permitted. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent, and we may assign them in connection with a reorganization, merger, or sale of assets. These Terms do not create any partnership, agency, dealership, or employment relationship, and no person other than you and Lakeland has any right to enforce them. 

The parties confirm that it is their wish that these Terms, as well as all documents relating to them, be drawn up in English. Les parties reconnaissent avoir demandé que le présent document ainsi que toute documentation y afférente soient rédigés en anglais.
